License Agreement and Limited Product Warranty

CAREFULLY READ THE FOLLOWING TERMS AND CONDITIONS BEFORE INSTALLING THE PROGRAM. YOUR INSTALLATION OF THE PROGRAM INDICATES YOUR ACCEPTANCE TO THE FOLLOWING TERMS AND CONDITIONS. IF YOU DO NOT AGREE WITH THESE, DO NOT INSTALL THE SOFTWARE.

THE PROGRAMS, INCLUDING CODE, DOCUMENTATION, APPEARANCE, STRUCTURE AND ORGANIZATION ARE PROPRIETARY PRODUCTS OF GREYTROUT SOFTWARE, INC. AND ARE PROTECTED BY COPYRIGHT AND OTHER LAWS. TITLE TO THESE PROGRAMS, OR ANY COPY, MODIFICATION OR MERGED PORTION OF ANY OF THESE PROGRAMS, SHALL AT ALL TIMES REMAIN WITH GREYTROUT SOFTWARE, INC.

GRANT:

GreyTrout Software, Inc. hereby grants you a non-exclusive license to use its NExS spreadsheet and accompanying software for evaluation purposes to the extent allowed by the limited function "NExS Demo License" key contained in the NExS standard distribution. Access to the full capabilities of the NExS spreadsheet may be obtained by purchasing a full function license key from GreyTrout Software, Inc. or its authorized resellers.

YOU MAY:

1. Install and use the Programs only on a computer for your own individual use. Full function license keys may be transferred to and used on another computer only so long as they are completely removed from the original computer, and shall under no circumstance be used on more than one computer at a time. The limited function "NExS Demo License" key may be installed on multiple computers for your own personal evaluation.
2. Make one copy of the Programs for backup or archival purposes in support of your permitted use of the Programs as described in this agreement.
3. Transfer the Programs together with this License to another person, but only if the other person agrees to accept the terms and conditions of this Agreement. If you transfer the Programs and the License you must at the same time transfer all copies of the Programs and their Documentation to the same person or destroy those not transferred. Any such transfer terminates your License responsibilities.

YOU MAY NOT:

1. Transfer or rent the program, or use, copy or modify the Programs, in whole or in part, except as expressly permitted in this Agreement.
2. Decompile, reverse assemble or otherwise reverse engineer the Programs.
3. Reproduce, distribute or revise the Documentation shipped with the Programs. If you do any of the foregoing, your rights under this license will automatically terminate. Such termination shall be in addition to and not in lieu of an criminal, civil or other remedies available to GreyTrout Software, Inc.

LIMITED WARRANTY

Except as specifically stated in this agreement, the Programs are provided and licensed as is without warranty of any kind, either expressed or implied, including, but not limited to, the implied warranties of merchantability and fitness for a particular purpose. GreyTrout Software, Inc. warrants that the media on which the Programs are furnished will be free from defects in materials and workmanship under normal use for a period of 30 days from the date of delivery to you. GreyTrout Software, Inc. does not warrant that the functions contained in the Programs will meet your requirements or that the operation of the Programs will be entirely error free or appear precisely as described in the Documentation.

LIMITATION OF REMEDIES AND LIABILITY

To the maximum extent permitted by applicable law, the remedies described below are accepted by you as your only remedies, and shall be available to you only if you or your dealer returns the enclosed registration form to GreyTrout Software, Inc. within ten days after delivery of the Programs. GreyTrout Software, Inc.'s entire liability and your exclusive remedies shall be: if the Programs media are defective, you may return them within 30 days of delivery to you along with a copy of your receipt and GreyTrout will replace them.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL GREYTROUT SOFTWARE, INC. BE LIABLE FOR ANY DAMAGES, INCLUDING LOST PROFITS, LOST SAVINGS, OR OTHER INCIDENTAL OR CONSEQUENTIAL DAMAGES, ARISING OUT OF THE USE OR INABILITY TO USE THE PROGRAMS, EVEN IF GREYTROUT SOFTWARE, INC. OR A DEALER AUTHORIZED BY GREYTROUT SOFTWARE, INC. HAD BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

If any provision of this Agreement is held to be unenforceable, the enforceability of the remaining provisions shall in no way be affected or impaired thereby. This Agreement shall be governed by the laws of the State of North Carolina.
